(NASDAQ: GMBL) (NASDAQ: GMBLW) (or the “Company”), via its EGL brand, is teaming up with the Los Angeles Chargers for a Madden 22 Tournament that will give fans the opportunity to compete against one another for the chance to win exclusive Los Angeles Chargers prizes.

The tournament will take place entirely online on Tuesday, Dec. 21 beginning at 6:00 p.m. PST.

Interested gamers can register egl.tv/chargers beginning today at 8:00 a.m. PST until Dec. 21 at 5:50 p.m. PST.

The event is free to enter and open to all gamers. Brackets will be generated and posted at start time where gamers can find their opponent and begin play. Match outcomes will be reported by the users at the conclusion of their games.

ALPHA (short for Automated LAN Programming, Hardware, & Assistance) is an eSports software and support package for venues that want to focus on their business vision by outsourcing their technology needs to ggCircuit. By partnering with ggCircuit to deploy ALPHA, venues get access to a team with 20 years of eSports management experience to implement turnkey solutions, sourcing, setup and support services that allow venue operators to more efficiently and effectively manage and grow their business.

  • Net revenue of $16.4 million, up $16.2 million compared to 1Q21 and an 86% increase compared to net revenue of $8.8 million in 4Q21
  • Gross profit of $10.0 million, up $10.2 million compared to 1Q21 and a 92% increase compared to $5.2 million in 4Q21
  • Gross margin of 61%, compared to 59% in 4Q21
  • GAAP Net loss of $0.5 million, or $0.03 per share, compared to net loss of $1.8 million, or $0.15 per share in 1Q21, and net loss of $4.8 million, or $0.28 per share, in 4Q21
  • Non-GAAP adjusted EBITDA* of ($2.7 million), compared to adjusted EBITDA of ($2.6 million) in 1Q21 and adjusted EBITDA of ($5.5 million) in 4Q21

Fiscal 2022 Financial Outlook

Esports Entertainment Group Announces Launch of Public Offering of 1,500,000 Shares of Preferred Stock

Hoboken, New Jersey–(Newsfile Corp. – November 3, 2021) – Esports Entertainment Group, Inc. (NASDAQ: GMBL) (NASDAQ: GMBLW) (or the “Company”) today announced it has commenced an underwritten registered public offering of its 10.0% Series A Cumulative Redeemable Convertible Preferred Stock, par value $0.001 per shares (the “Series A Preferred Stock”), at a price of $10.00 per share. Each share of Series A Preferred Stock will be convertible into shares of the Company’s common stock, at a conversion price of $17.50 per common share, at any time at the option of the holder. In connection with this offering, the Company expects to grant the underwriters a 45-day option to purchase an additional 225,000 shares of Series A Preferred Stock at the public offering price, less underwriting discounts and commissions.

Currently, no market exists for the Series A Preferred Stock. The Company has filed an application to list the Series A Preferred Stock on the NASDAQ Capital Market under the symbol “GMBLP.” If the application is approved, trading of the Series A Preferred Stock is expected to begin within three business days after the initial issuance of the Series A Preferred Stock.

Esports Entertainment Group Submits Transactional Waiver to New Jersey Division of Gaming Enforcement

 

Newark, New Jersey–(Newsfile Corp. – October 28, 2021) – Esports Entertainment Group, Inc. (NASDAQ: GMBL) (NASDAQ: GMBLW) (or the “Company”) is pleased to announce that its transactional waiver for the New Jersey Division of Gaming Enforcement (or “DGE”) has been submitted. Once approved, it would allow the Company to begin betting operations in the Garden State.

“New Jersey sports betting reported the first $1 billion handle in September alone and it shows no signs of slowing down anytime soon,” said Grant Johnson, CEO of Esports Entertainment Group. “The transactional waiver is one of the final steps in us being able to go live and bring the exciting world of esports betting to the state of New Jersey.”

In preparation for the issuance of its New Jersey gaming license, the Company opened an office in Hoboken at the beginning of September. In the Company’s October earnings call, it was announced that Q4 revenue was up 63 percent from Q3 and there was a significant increase in stockholder equity to $74.8 million in FY2021.
